5. FORCE MAJEURE
5.1. Neither party will be liable to the other under these Terms (or any other agreement between the parties), for any loss or damage which may be suffered by the other party due to any cause beyond the first party’s reasonable control including without limitation any act of God, exceptionally severe weather, failure of shortage of power supplies, flood, drought, lightning or fire, strike, lock-out, trade dispute or labour disturbance (other than those of the parties), the act or omission of government, highways authorities, other telecommunications operators or administrators or other competent authority, war, military operations, acts of terrorism or riot, royal demise etc.
6. REPRESENTATIONS AND WARRANTIES
6.1. You undertake, represent and warrant that:
6.1.1. if you are a corporate representative, you have authority to bind the corporate entity; and
6.1.2. you will comply with all applicable laws and regulations regarding and relating to your use of the Website.
6.2. To the extent allowed under law, BrokerConnector (and those that BrokerConnector works with to provide the services) (a) disclaim all implied warranties and representations (e.g. warranties of merchantability, fitness for a particular purpose, accuracy of data, and non-infringement); (b) do not guarantee that the services will function without interruption or errors, and (c) provide the service (including content and information) on an “as is” and “as available” basis.
6.3. Some laws do not allow certain disclaimers, so some or all of these disclaimers may not apply to you.
7. EXCLUSION OF LIABILITY
7.1. 7.2. In no event shall the liability of BrokerConnector (and those that BrokerConnector works with to provide the services) exceed, in the aggregate for all claims, an amount that equals the aggregate of the fees paid to BrokerConnector for the immediate past year.

2. Private Messages

BrokerConnector acts as a passive conduit for your participation in the PM Service and BrokerConnector is in no way responsible for content that is sent by way of the PM Service (“PM Content”). To this end, BrokerConnector shall have no liability in respect of any PM Content that has not been not sent to you by BrokerConnector itself.
2.2. You must use the PM Service responsibly. This includes treating other users with respect, not sending spam emails or otherwise harassing other users or in any way impeding their use and enjoyment of the PM Service and the Website. In all such matters, the opinion of BrokerConnector will determine if your behavior breaches the terms of this clause. Failure to adhere to these terms will give BrokerConnector the right to terminate your ability to access the PM Service or terminate your access to the Website.
2.3. You agree that you will adhere to any and all additional terms and conditions that may apply from time to time to the PM Service.
3. General terms regarding all content
3.1. You must own the materials contained within the User Content and the PM Content (collectively the “Content”) that you submit or post to the Website (including all underlying rights). If you do not own all such materials, you must at least have the right to include those materials on a third party website such as the Website.
3.2. You warrant that the Content that you submit or post to the Website will not contain any material that infringes the intellectual property rights (including without limitation the copyright) of any third party. You warrant that all such rights are owned by you or controlled by you as required by this clause and you further agree that, without limiting the generality of its terms, the indemnity contained in clause 3.6 of these Content Terms will apply to any breach of this clause. In relation to your User Content, you are granting BrokerConnector the following non-exclusive license: a worldwide, transferable and sub licensable right to use, copy, modify, distribute, publish, and process, that information and content without any further consent, notice and/or compensation to you or others.

OUR MISSION

PROFILES
1. Potential Employees
1.1. You will need to register with BrokerConnector in order to submit any Listing or Potential Client to the Website. You may register an account with this Website only if your registration has not previously been withdrawn or suspended by BrokerConnector. To register to use the Website, you must be an incorporated entity under the laws of Dubai and you must provide any information that BrokerConnector may require.
1.2. You are responsible for maintaining the confidentiality of your account user name and password and for preventing unauthorized access to your profile. You agree to accept responsibility for all activities that occur under your account name. 1.9.1.2. does not contain anything that is abusive, defamatory, libelous, objectionable, obscene, pornographic and/or does not contain any religious and or political content;
1.9.1.3. is not in breach of any applicable laws (including, without limitation, laws relating to property rights), or third-party rights; and
1.9.1.4. does not contain any virus or other similar contaminating or destructive feature.

To this end, BrokerConnector shall have no liability in respect of any PM Content that has not been not sent to you by BrokerConnector itself.
2.2. You must use the PM Service responsibly. This includes treating other users with respect, not sending spam emails or otherwise harassing other users or in any way impeding their use and enjoyment of the PM Service and the Website. In all such matters, the opinion of BrokerConnector will determine if your behavior breaches the terms of this clause. Failure to adhere to these terms will give BrokerConnector the right to terminate your ability to access the PM Service or terminate your access to the Website.
2.3. You agree that you will adhere to any and all additional terms and conditions that may apply from time to time to the PM Service.
3. General terms regarding all content
3.1. You must own the materials contained within the User Content and the PM Content (collectively the “Content”) that you submit or post to the Website (including all underlying rights). If you do not own all such materials, you must at least have the right to include those materials on a third party website such as the Website.
3.2. You warrant that the Content that you submit or post to the Website will not contain any material that infringes the intellectual property rights (including without limitation the copyright) of any third party. You warrant that all such rights are owned by you or controlled by you as required by this clause and you further agree that, without limiting the generality of its terms, the indemnity contained in clause 3.6 of these Content Terms will apply to any breach of this clause. In relation to your User Content, you are granting BrokerConnector the following non-exclusive license: a worldwide, transferable and sub licensable right to use, copy, modify, distribute, publish, and process, that information and content without any further consent, notice and/or compensation to you or others.
3.3. These rights are limited in the following ways:
3.3.1. You can end this license for specific User Content by deleting such content from the Website, or generally by closing your account, except (a) to the extent you shared it with others as part of the operation of the Website and they copied or stored it and (b) for the reasonable time it takes to remove from backup and other systems.

PROFILES
1. Potential Employees
1.1. You will need to register with BrokerConnector in order to submit any Listing or Potential Client to the Website. You may register an account with this Website only if your registration has not previously been withdrawn or suspended by BrokerConnector. To register to use the Website, you must be an incorporated entity under the laws of Dubai and you must provide any information that BrokerConnector may require.
1.2. You are responsible for maintaining the confidentiality of your account user name and password and for preventing unauthorized access to your profile. You agree to accept responsibility for all activities that occur under your account name. Please do take all necessary steps to ensure that your user name and password are both kept confidential and secure. We ask that you please inform BrokerConnector immediately if you have any reason to believe that your user name and/or password has become known to anyone else, or are being used, or are likely to be used, in an unauthorized manner.
1.3. By entering the information required for registration, you warrant that the details you provide are and will continue to be correct and complete.
1.4. When you register on the Website, you will then be able to access that area of the Website where you can create an employment profile. You will be given a username and will assign a password to that username (the "Login Details").
1.5. The Website will create a page (your “Page”) that contains limited information about you that is made available to other users. You can only have one Page at any time and it must be in your real company name.
1.6. You and BrokerConnector are the only people that can access your Page in order to edit it. You must not attempt to gain editorial access to any other part of the Website. However if at any time, because of an error or for any other reason, you find that you can access and alter any other part of the Website, you agree that you will not alter or add any material of any nature to those pages. If this occurs, BrokerConnector may remove your Page and/or terminate your access to the Website.
1.7. Once you have an account, you can then upload Listings or Client Information from time to time. BrokerConnector expects you to update the information on any Listing or Client Information when any relevant information alters. This information must be truthful at all times.
1.8. You will be able to see Listings and Client Information from other users on the Website. Please note that these may not be accurate, and BrokerConnector will not be held responsible if they are not accurate. You must make your own enquiries about the Listings and Client Information and the other user as would be considered commercially appropriate. You agree and confirm that BrokerConnector and this Website has not made any warranty or representation regarding any other user, any terms relating to any Listing and/or Client Information and/or their integrity or honesty.
1.9. Whenever you submit a Listing or Client Information to the Website, you warrant that the information or material:
1.9.1.1. is accurate, up-to date and is not misleading in any way;
1.9.1.2. does not contain anything that is abusive, defamatory, libelous, objectionable, obscene, pornographic and/or does not contain any religious and or political content;
1.9.1.3. is not in breach of any applicable laws (including, without limitation, laws relating to property rights), or third-party rights; and
1.9.1.4. does not contain any virus or other similar contaminating or destructive feature.
1.10. You acknowledge that BrokerConnector can, if it deems it necessary to comply with any law or regulation, alter any information or material that you submit within any Listing or Client Information.
1.11. In relation to any Listing or Client Information, you should:
1.11.1.1. correct your own mistakes as soon as you realize that they have been made; and
1.11.1.2. not remove any material that BrokerConnector has added to any Listing or Client Information.
1.12. All copyright in and relating to the Listings or Client Information will remain with you. However, you grant to BrokerConnector the non-exclusive right to retain the Listings or Client Information and to use that material anywhere on the Website.
2. Use of the Website
2.1. BrokerConnector tries to keep all information on this Website up to date, but it may not be correct all of the time. You should independently check the information that you receive from the Website (including any Listing or Client Information) is correct.
